Terms of Service

These Terms of Service (“Terms”) govern your access to and use of GearDock.io, including its websites, applications, features, and related services (collectively, the “Service”).

GearDock.io is owned and operated by Heritage Brands Group, LLC. In these Terms, “GearDock,” “we,” “us,” and “our” refer to Heritage Brands Group, LLC and the GearDock.io Service, as applicable.

By creating an account, joining an organization, or using the Service, you agree to these Terms. If you use GearDock on behalf of a company, organization, or other entity, you represent that you have authority to use the Service on its behalf.

If you do not agree to these Terms, you may not use the Service.

1. Eligibility

You must be legally capable of agreeing to these Terms or have permission from a parent or legal guardian who is authorized to agree on your behalf.

GearDock is not directed toward young children.

If you create or administer a GearDock account for an organization, you represent that you have authority to do so.

2. The Service

GearDock is a platform for cataloging, organizing, tracking, checking out, reserving, and managing gear and related information.

“Gear” is intentionally broad and may include photo, video, audio, tools, electronics, equipment, supplies, or other items a user or organization chooses to manage through the Service.

GearDock is a management and recordkeeping tool. It does not guarantee the accuracy, availability, condition, location, ownership, value, recovery, or security of any gear.

GearDock is not a substitute for insurance, accounting records, ownership documentation, asset appraisals, security systems, or other records appropriate for your circumstances.

3. Accounts and Organizations

You are responsible for maintaining accurate account information, protecting your login credentials, and promptly notifying GearDock if you believe your account has been compromised.

GearDock may allow multiple users to participate in a shared company or organization workspace.

Organization owners and administrators are responsible for managing users, roles, and permissions and for removing access when it is no longer appropriate.

Organizations are responsible for ensuring they have appropriate authority to add employees, contractors, students, volunteers, or other individuals to their GearDock account and to maintain records of their activity.

Authorized organization owners, administrators, and other users with appropriate permissions may have access to records created by other users within the organization, including gear activity, checkouts, reservations, approvals, and history.

Activity performed within an organization’s GearDock workspace should not be considered private from that organization or from users the organization has authorized to view that information.

4. User Removal and Historical Records

If you leave or are removed from an organization, your access to that organization’s GearDock data may end immediately.

Historical records associated with your activity may remain part of the organization’s records after your access ends. Removing a user does not require GearDock or the organization to remove historical checkout, reservation, approval, gear, or other operational records associated with that user.

5. Customer Data

As between you and GearDock, you or your organization retain ownership of the information, records, images, materials, and other data you provide to the Service (“Customer Data”).

You grant GearDock the rights necessary to host, store, process, reproduce, display, transmit, back up, and otherwise use Customer Data as reasonably necessary to provide, maintain, secure, support, and improve the Service.

This permission does not transfer ownership of your Customer Data to GearDock.

If GearDock allows users to upload or store photos, logos, documents, or other materials, you are responsible for ensuring you have the rights and permissions necessary to provide and use those materials through the Service.

6. Accuracy of Gear Information

You are responsible for reviewing and verifying information stored in GearDock.

Information such as manufacturer, model, serial number, purchase price, replacement value, description, category, availability, status, or other gear information may be entered by users, imported from files, generated or suggested through automated systems, or obtained from third-party sources.

GearDock does not guarantee that this information is accurate, complete, or current.

You remain responsible for verifying information before relying on it for purchasing, insurance, accounting, recovery, operational, or other decisions.

7. QR Codes and Public Gear Pages

GearDock may allow QR codes or similar identifiers to be associated with gear.

When this functionality is enabled, scanning a GearDock QR code may display a limited public-facing page to someone who is not signed into GearDock.

Public-facing pages may display information specifically intended for that purpose, including gear identification information, asset identifiers, serial numbers, status, descriptions, and designated return or contact information intended to assist with identifying or recovering gear.

Information displayed on a public-facing GearDock page may be accessible to anyone who obtains or scans the associated QR code.

8. Artificial Intelligence and Automation

Certain GearDock features may use artificial intelligence, machine learning, or other automated systems to interpret information, generate suggestions, assist with imports, create descriptions, or perform other functions.

Automated results may be inaccurate or incomplete. You are responsible for reviewing information before relying on it.

GearDock does not use Customer Data to train artificial intelligence models.

When Customer Data is processed by an AI-powered or automated feature, that processing may be performed by GearDock or by service providers acting on GearDock’s behalf for the purpose of providing the requested functionality.

9. Acceptable Use

You may use GearDock only for lawful purposes and in accordance with these Terms.

You may not:

  • Use the Service for unlawful, fraudulent, abusive, or harmful activity.

  • Attempt to gain unauthorized access to GearDock, another account, another organization, or systems connected to the Service.

  • Circumvent or attempt to circumvent security controls, account permissions, subscription restrictions, usage limits, or other technical protections.

  • Reverse engineer, decompile, disassemble, copy, or attempt to derive the source code or underlying proprietary technology of the Service except where such restriction is prohibited by law.

  • Scrape, crawl, harvest, or systematically extract information from the Service without authorization.

  • Use bots, scripts, automated systems, or other tools in a manner that interferes with the Service or exceeds authorized functionality.

  • Interfere with, overload, disrupt, damage, or compromise the Service or its infrastructure.

  • Use GearDock for covert surveillance, unauthorized monitoring of individuals, or other people-tracking activity that violates applicable law or reasonable expectations of privacy.

  • Upload, store, or process unlawful, malicious, infringing, or inappropriate information through the Service.

  • Use GearDock’s name, trademarks, logos, branding, or other intellectual property in an unauthorized manner.

Nothing in this section prohibits ordinary use of integrations, APIs, automation, or other functionality expressly authorized by GearDock.

10. Subscriptions and Plan Limits

GearDock may offer Free, Pro, Enterprise, or other subscription plans.

Each plan may include different features, capabilities, storage allowances, item limits, user limits, AI usage, imports, QR functionality, or other usage limits.

Current plan features, prices, and limits are described on GearDock’s website or within the Service.

GearDock may enforce the usage limits associated with each plan and may introduce additional plans or modify plan structures in the future.

GearDock may add, remove, modify, or discontinue features or change the features included with particular plans. When a change materially affects a paid subscription, GearDock will provide reasonable notice when appropriate.

11. Purchases, Billing, and Automatic Renewal

Paid GearDock subscriptions may be offered on monthly or annual billing cycles.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

When you purchase a paid GearDock subscription, you purchase the subscription through Paddle as GearDock’s authorized reseller and Merchant of Record. Paddle processes your order and payment and is responsible for applicable transaction taxes, billing, invoicing, and other order-related functions.

Your transaction with Paddle is subject to Paddle’s applicable Buyer Terms, in addition to these Terms governing your use of GearDock.

Unless otherwise stated, paid subscriptions automatically renew for another billing period unless canceled before the applicable renewal date.

By purchasing a recurring subscription, you authorize Paddle to charge the applicable subscription price and taxes to your selected payment method in accordance with the terms presented at checkout and Paddle’s applicable Buyer Terms.

GearDock may change subscription prices in the future. When reasonably appropriate, GearDock will provide advance notice of a price change. Unless otherwise stated, price changes will generally take effect at your next renewal.

12. Cancellation and Refunds

You may cancel a paid subscription at any time using the subscription management options made available through GearDock or Paddle.

Cancellation stops future renewal. Unless otherwise stated or required by applicable law, paid features generally remain available through the end of the billing period already purchased.

Because Paddle is the Merchant of Record, payment-related refunds and returns are processed through Paddle and are subject to applicable law, Paddle’s Buyer Terms and Refund Policy, and GearDock’s Cancellation & Refund Policy.

13. Failed Payments and Payment Disputes

Payment processing and collection for paid GearDock subscriptions are handled by Paddle as Merchant of Record.

If a payment fails or becomes past due, Paddle may attempt to collect the payment or provide an opportunity to update payment information in accordance with its applicable terms and processes.

GearDock may suspend paid functionality or move an account to an available Free plan if the subscription is no longer active because payment remains unresolved.

If you initiate a chargeback, payment dispute, or similar reversal related to a GearDock purchase, Paddle may administer the dispute as Merchant of Record. GearDock may suspend the associated paid subscription or account while the dispute is being resolved or if Paddle determines that the transaction no longer supports an active subscription.

14. Promotions, Discounts, and Trials

GearDock may offer discounts, promotional pricing, coupons, free trials, or other offers.

These offers may have separate eligibility requirements, durations, limitations, expiration dates, or renewal terms. Any additional terms presented with an offer will apply to that offer.

Where an offer results in a purchase or paid subscription, the transaction may be processed by Paddle as Merchant of Record.

15. Taxes

Paddle, as Merchant of Record, is generally responsible for calculating, collecting, and remitting applicable sales tax, VAT, GST, and similar transaction taxes associated with purchases processed through Paddle.

Taxes applicable to a purchase may be calculated based on information such as the purchaser’s location, billing information, and applicable tax rules and may be added to the price where required.

Tax treatment may vary based on jurisdiction and purchaser status.

16. Downgrades and Plan-Restricted Gear

If an organization moves to a plan with lower usage limits, GearDock is not required to delete gear solely because the account exceeds the new plan’s limits.

GearDock may restrict functionality for records exceeding the applicable plan limit.

Restricted records may remain visible and retain their historical information while certain functionality, such as editing, checkout, reservation, approval, kit membership, or QR assignment, is unavailable until the account has sufficient capacity or moves to an appropriate plan.

GearDock may determine which records remain fully usable using reasonable and consistently applied criteria established by the Service.

GearDock may continue to allow status changes necessary to accurately record that gear has been lost, stolen, sold, donated, retired, disposed of, or otherwise removed from active use.

Plan restrictions are subscription entitlements and do not change the underlying historical record of the gear.

17. Cancelling a Paid Plan

Canceling a paid GearDock plan does not automatically delete your organization or its data.

Unless otherwise specified, paid functionality remains available through the end of the paid subscription period. After that period, the organization may move to an available Free plan and become subject to the features and limits of that plan.

18. Inactive Free Accounts

GearDock may remove or delete Free accounts or organizations that have remained inactive for an extended period.

Before permanently deleting an inactive account or organization, GearDock will provide reasonable advance notice to the appropriate account holder when practicable and an opportunity to sign in, retain the account, or export available data.

The applicable inactivity period may be established or changed by GearDock from time to time.

19. Company and Organization Deletion

An authorized organization owner may request deletion of a GearDock organization.

GearDock may provide a waiting period before deletion becomes permanent. During that period, the deletion request may be canceled as provided by the Service.

Once the waiting period expires and deletion is finalized, operational organization data may be permanently deleted and may not be recoverable.

GearDock has no obligation to restore operational data after permanent deletion.

You are responsible for exporting any information you wish to retain before permanent deletion.

20. Personal Account Closure

Users may request closure of their personal GearDock account.

An account may not be eligible for immediate closure if the user is the sole owner of an organization. Ownership may need to be transferred or the organization scheduled for deletion first.

Closing a personal account may remove the user’s profile, permissions, roles, and access while preserving records that GearDock or an organization reasonably needs to maintain.

Historical organization records associated with the user may remain with the organization.

Certain information may also be retained when reasonably necessary for legal compliance, billing, fraud prevention, security, dispute resolution, enforcement of agreements, or other legitimate business purposes.

21. Data Export

GearDock may provide tools for exporting certain account or inventory information.

You are responsible for exporting information you wish to retain before permanently deleting an organization or account when export functionality is available.

GearDock does not guarantee that every type of information maintained by the Service will be included in every export.

22. Aggregated and De-Identified Information

GearDock may create and use aggregated or de-identified information for analytics, product improvement, security, service development, business operations, and similar legitimate purposes.

This does not give GearDock ownership of identifiable Customer Data.

23. Feedback and Feature Requests

If you provide suggestions, ideas, feedback, feature requests, or other recommendations about GearDock, you permit GearDock to use them without restriction or compensation to you.

Submitting feedback does not give you ownership rights in features, improvements, or products GearDock may develop based on or related to that feedback.

24. Intellectual Property

GearDock and its licensors own the Service and the intellectual property associated with it, including its software, technology, design, branding, interfaces, workflows, documentation, graphics, and platform materials.

Subject to these Terms, GearDock grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purposes.

This license does not transfer ownership of GearDock’s intellectual property to you.

Your Customer Data remains yours as described in these Terms.

25. Third-Party Services

GearDock relies on third-party providers to operate portions of the Service. These may include database and infrastructure providers, hosting providers, email services, analytics providers, artificial intelligence providers, security providers, application monitoring providers, and other technology vendors.

GearDock may provide those service providers with information reasonably necessary to perform services on GearDock’s behalf.

GearDock also uses Paddle as its authorized reseller and Merchant of Record for paid subscriptions. Paddle’s role in purchases and billing is described in these Terms and is governed by Paddle’s applicable Buyer Terms and policies.

GearDock is not responsible for interruptions, failures, changes, or acts of third-party services beyond GearDock’s reasonable control.

Your use of certain third-party functionality may also be subject to the provider’s applicable terms or policies.

26. Service Changes and Availability

GearDock may modify, update, add, remove, or discontinue features or portions of the Service.

GearDock may perform maintenance, upgrades, security work, or other changes that temporarily interrupt access.

GearDock does not guarantee that the Service will always be available, uninterrupted, secure, or error-free.

27. Security

GearDock may take actions reasonably necessary to protect users, Customer Data, the Service, or its infrastructure.

These actions may include restricting access, suspending sessions, requiring credential changes, blocking suspicious activity, or temporarily limiting functionality.

No internet-based service can guarantee absolute security, and GearDock does not make such a guarantee.

28. Suspension and Termination

GearDock may restrict, suspend, or terminate access to some or all of the Service when reasonably necessary, including because of:

  • A violation of these Terms.

  • Illegal, fraudulent, abusive, or harmful activity.

  • Security threats or suspected unauthorized access.

  • Nonpayment.

  • Chargebacks or payment disputes.

  • Attempts to circumvent plan limitations or technical controls.

  • Activity that threatens GearDock, its users, third parties, or operation of the Service.

  • Compliance with applicable law or legal process.

GearDock may also decline to create or continue an account when reasonably necessary and permitted by law.

29. Removal or Restriction of Customer Data

GearDock may remove, disable, restrict, or prevent access to Customer Data when reasonably necessary because the information violates these Terms, creates a security risk, is alleged to violate applicable law or third-party rights, or must be restricted pursuant to legal process.

30. Service Communications

GearDock may send communications reasonably necessary to operate the Service.

These may include security alerts, account notices, billing messages, subscription information, deletion notices, invitations, administrative messages, service changes, and other transactional communications.

GearDock may contact an organization owner or account holder regarding administrative matters affecting the organization or its users.

Transactional and service communications are separate from optional marketing communications.

31. Customer Names and Branding

Using GearDock does not automatically give GearDock permission to publicly use your company or organization name, logo, trademarks, or other branding in advertising, case studies, customer lists, or promotional materials.

GearDock will obtain separate permission before using customer branding for public marketing purposes.

32. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

GEARDOCK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

GEARDOCK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT INFORMATION PROVIDED THROUGH THE SERVICE WILL ALWAYS BE ACCURATE OR COMPLETE.

GEARDOCK DOES NOT GUARANTEE THE LOCATION, AVAILABILITY, CONDITION, OWNERSHIP, VALUE, SECURITY, OR RECOVERY OF ANY GEAR.

33. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEARDOCK AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR LOSS, DAMAGE, OR THEFT OF PROPERTY ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEARDOCK’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE GEARDOCK SERVICE DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of these limitations may not apply to you.

34. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless GearDock and its owners, officers, employees, contractors, affiliates, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from or related to your misuse of the Service, violation of these Terms, unlawful activity, Customer Data or materials you provide through the Service, infringement or violation of another person’s rights, or your organization’s use or administration of GearDock.

35. Force Majeure

GearDock will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, power or internet failures, labor disputes, acts of government, war, terrorism, civil unrest, epidemics, cyberattacks, failures of third-party infrastructure, or similar events.

36. Assignment

You may not assign or transfer these Terms without GearDock’s prior written consent.

GearDock may assign or transfer these Terms and related customer relationships in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or similar transaction.

37. Changes to These Terms

GearDock may update these Terms from time to time.

When changes are material, GearDock may provide notice through the Service, by email, or through another reasonable method.

GearDock may require you to accept an updated version before continuing to use the Service.

The current version of these Terms will be made available through GearDock.

38. Governing Law and Venue

These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

To the extent a dispute arising out of or relating to these Terms or the Service is brought in court, you and GearDock consent to the jurisdiction of the state and federal courts located in South Carolina, except where applicable law provides otherwise.

These provisions govern your relationship with GearDock and your use of the Service. Transactions processed by Paddle may also be subject to the governing law and dispute provisions contained in Paddle’s applicable Buyer Terms.

39. Dispute Resolution

Before filing a legal claim relating to the Service, you and GearDock agree to make a reasonable, good-faith effort to resolve the dispute informally.

A party seeking to resolve a dispute should provide the other party with written notice describing the nature of the dispute and the requested resolution.

Nothing in this section prevents either party from seeking relief when immediate legal action is reasonably necessary to prevent harm, preserve rights, comply with a limitations period, or obtain appropriate injunctive relief.

40. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

41. No Waiver

GearDock’s failure to enforce any provision of these Terms does not waive its right to enforce that provision or any other provision later.

42. Entire Agreement

These Terms, together with GearDock’s Privacy Policy, Cancellation & Refund Policy, and any additional terms expressly applicable to a particular feature, subscription, promotion, or offer, constitute the agreement between you and GearDock regarding the Service.

Purchases processed through Paddle are also subject to Paddle’s applicable Buyer Terms and policies governing the transaction.

If additional terms conflict with these Terms, the more specific terms will control with respect to the applicable feature, subscription, promotion, offer, or transaction, except to the extent applicable law requires otherwise.
